SECTION 1: ACCEPTANCE OF TERMS

1.1 Acceptance of This Agreement
By accessing or using this website, creating an account, or purchasing products from MLAD Research, LLC ("Company," "MLAD", "we," "our," or "us"), you agree to comply with and be legally bound by these General Terms and Conditions ("Agreement", "Terms and Conditions", or "Terms"). This Agreement creates a legally enforceable contract between you ("Customer," "Purchaser," or "you") and the Company.

1.2 Conflicting Terms
Any terms or conditions included in a purchase order, confirmation, correspondence, or other document submitted by you that differ from or add to this Agreement are expressly rejected and will have no legal effect unless expressly accepted in writing by the Company. Processing or fulfilling an order does not constitute acceptance of any conflicting customer terms.

1.3 Electronic Consent
Selecting "Order Checkout" or any similar confirmation during the checkout process constitutes your acknowledgment that you have read, understood, and accepted these Terms and Conditions, together with all of our policies which are hereby incorporated by reference. If you do not agree with every provision of this Agreement, you must not access this website or purchase any products.

1.4 Changes to These Terms
The Company may revise or update these Terms and Conditions at any time without prior notice. Any modifications become effective upon posting to this website unless otherwise stated. Your continued use of the website or purchase of products after updated Terms are posted constitutes your acceptance of the revised Agreement. You are responsible for reviewing the Terms periodically for changes.

SECTION 2: RESEARCH USE ONLY

2.1 Intended Use
All products offered by Company are sold exclusively for lawful in vitro laboratory research. They are intended solely for use by qualified research professionals in controlled laboratory environments and are not designed, manufactured, or distributed for use in or on humans or animals.

2.2 Prohibited Applications
Customer shall  NOT use any product for, or in connection with, any of the following:

  • Human or animal consumption, administration, injection, ingestion, inhalation, implantation, topical application, or any other in vivo use;

  • Food, beverages, dietary supplements, or food additives;

  • Prescription or over-the-counter drugs, pharmaceuticals, biologics, or therapeutic products;

  • Medical devices or diagnostic products;

  • Cosmetic or personal care formulations;

  • Veterinary medicines, animal feed, or animal health products;

  • Clinical testing or experimentation involving humans or animals;

  • Commercial manufacturing or production without the Company's prior written authorization;

  • Any application requiring governmental approval that has not been obtained; and

  • Any purpose prohibited under applicable federal, state, local, or international law.


2.3 Regulatory Status
The products sold by Company are research chemicals intended solely for laboratory research. They have not been approved, cleared, or licensed by the U.S. Food and Drug Administration (FDA) as drugs, biologics, medical devices, or in vitro diagnostic products. No statement made by Company should be interpreted as representing that any product has been evaluated by the FDA for safety, effectiveness, or suitability for any medical, therapeutic, or diagnostic application. These products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

2.4 Company Status
MLAD is not a compounding pharmacy under Section 503A of the Federal Food, Drug, and Cosmetic Act and is not an FDA-registered outsourcing facility under Section 503B. MLAD does not compound medications, prepare patient-specific formulations, fill prescriptions, or manufacture products for individual medical treatment.

2.5 Product Condition
Unless expressly stated otherwise, products are supplied in their existing condition for research purposes only. The Company does not represent that products have been sterilized or tested for safety, efficacy, or suitability in any human, animal, pharmaceutical, cosmetic, medical, or commercial application. Purchasers acknowledge that they are solely responsible for determining whether a product is appropriate for their intended laboratory research and assume all responsibility for handling and use consistent with applicable laws and accepted laboratory practices.
 
SECTION 3: PURCHASER ELIGIBILITY AND VERIFICATION
 
3.1 Minimum Age Requirement
You must be at least twenty-one (21) years of age to access this website, establish an account, or purchase any products from Company. By placing an order, you represent and certify that you have reached the age of twenty-one (21) at the time of purchase. Company reserves the right to verify your age and may refuse or cancel any order if satisfactory verification cannot be obtained.

3.2 Qualified Research Personnel
Products offered by Company are intended solely for use by individuals who possess the education, training, and experience necessary to safely handle laboratory research materials. Purchasers are responsible for ensuring that all products are stored, handled, and used only by qualified personnel operating in accordance with accepted laboratory practices.
For purposes of this Agreement, "qualified personnel" refers to individuals with appropriate scientific education and documented training in laboratory safety, chemical handling, and in vitro research procedures.

3.3 Purchaser Representations
By purchasing products from the Company, you represent and warrant that you satisfy at least one of the following qualifications:

  • You are employed by or affiliated with a recognized laboratory, university, research institution, biotechnology company, pharmaceutical organization, or another legitimate scientific or research-based entity requiring research chemicals;

  • You are an individual research professional possessing, at minimum, a bachelor's degree in a relevant scientific discipline and are conducting lawful in vitro research; or

  • You otherwise meet the Company's qualification standards, as determined in its sole discretion.
     

3.4 Accuracy of Information
You agree that all information provided to Company is complete, accurate, and truthful. Providing false, misleading, or fraudulent information may result in immediate cancellation of orders, suspension or termination of your account, refusal of future sales, and, where appropriate, referral to applicable regulatory or law enforcement authorities.

3.5 Verification Rights
To protect the integrity of its products and ensure compliance with applicable laws, MLAD reserves the right, but is under no obligation, to verify information provided by Purchasers. You agree to cooperate with any reasonable verification requests. Failure to provide requested information may result in delayed processing, cancellation of an order, denial of future purchases, or termination of your account at MLAD's sole discretion.

SECTION 4: CUSTOMER REPRESENTATIONS, ACKNOWLEDGMENTS, AND ASSUMPTION OF RISK
 
4.1 Customer Representations
By purchasing any product from MLAD, you represent, warrant, and acknowledge that, through your own independent education, training, and review, you possess sufficient knowledge to safely acquire, handle, store, transport, and use the products for their intended in vitro laboratory research purposes.
You further represent that you understand and accept responsibility for the following:

  • Product Knowledge. The chemical characteristics, composition, and appropriate laboratory applications of each product purchased.

  • Regulatory Compliance. The federal, state, local, and international laws and regulations governing the acquisition, possession, storage, transportation, handling, use, and disposal of research chemicals, including applicable requirements of agencies such as the FDA, DEA, EPA, OSHA, and other relevant regulatory authorities.

  • Health and Safety Risks. The known and potential chemical, biological, toxicological, and occupational hazards associated with the products and the precautions necessary to minimize those risks.

  • Hazard Communication. Your responsibility to communicate applicable hazards to employees, contractors, researchers, or any other individuals who may handle or be exposed to the products, including compliance with OSHA's Hazard Communication Standard (29 CFR 1910.1200) and any comparable legal requirements.

  • Laboratory Safety Practices. Appropriate laboratory procedures, engineering controls, personal protective equipment (PPE), storage methods, waste disposal practices, and other industrial hygiene measures necessary to protect personnel, facilities, and the environment.

  • Research Methodology. Accepted scientific methods, protocols, and procedures applicable to your intended in vitro research activities.
     

4.2 Assumption of Risk
You acknowledge that research chemicals may present inherent risks, whether known or unknown. By purchasing or possessing any product, you voluntarily assume all risks associated with its transportation, receipt, storage, handling, testing, use, and disposal. To the fullest extent permitted by law, you accept sole responsibility for any injury, illness, death, property damage, environmental harm, regulatory violation, or other loss arising from or related to your possession or use of any product after delivery.  
 
4.3 Independent Evaluation

You acknowledge that you have independently evaluated the suitability of each product for your intended research activities. You are not relying upon any statement, representation, recommendation, marketing material, technical information, or alleged warranty made by the Company regarding the suitability of any product for a particular application. The Company makes no representation that any product is appropriate for any specific research project, protocol, or experimental objective, and all purchasing decisions are made solely at your own discretion and risk.

SECTION 5: PROHIBITED ACTIVITIES AND COMPANY COMMUNICATION POLICY

5.1 Prohibited Conduct
As a condition of purchasing or using products from MLAD, you agree that you will not directly or indirectly:

  • Administer, inject, ingest, inhale, implant, apply, or otherwise use any product in or on a human or animal;

  • Supply, sell, transfer, distribute, or make available any product to a person or entity intending human or animal use;

  • Reconstitute, dilute, compound, formulate, mix, or otherwise prepare any product for administration to humans or animals;

  • Use any product for clinical, therapeutic, diagnostic, preventative, or veterinary purposes;

  • Represent or imply that any product is approved, safe, effective, or suitable for use in humans or animals;

  • Market, advertise, or promote any product in a manner inconsistent with its designated Research Use Only classification;

  • Resell, redistribute, or export products without the Company's prior written authorization;

  • Use the Company's name, trademarks, branding, or product information in any manner that suggests endorsement of prohibited uses; and

  • Provide false, incomplete, or misleading information regarding your identity, qualifications, institutional affiliation, or intended research activities.

Any use of Company products inconsistent with these Terms constitutes a breach of this Agreement.

5.2 Research Support Policy
MLAD sells products exclusively to qualified research professionals and expects purchasers to possess the knowledge and expertise necessary to conduct their own laboratory research. Accordingly, MLAD does not provide, and will not provide, guidance, recommendations, or technical assistance concerning:

  • Product reconstitution or preparation;

  • Dosage calculations or administration protocols;

  • Human or animal use;

  • Clinical, therapeutic, or in vivo applications;

  • Expected physiological effects or outcomes; and

  • Recommendations regarding the suitability of a product for any particular research project.
     

Purchasers are solely responsible for obtaining any scientific literature, protocols, safety information, and technical resources necessary for their lawful in vitro research activities.

5.3 Restrictions on Resale
Unless otherwise authorized in writing by the Company, products are sold solely for the Purchaser's own legitimate in vitro research use and are not intended for resale or commercial redistribution.
You may not market, distribute, broker, export, or otherwise transfer products to any third party without the Company's prior written consent. Any unauthorized resale or distribution may result in immediate account termination, cancellation of pending orders, refusal of future business, and any additional legal remedies available to the Company.

SECTION 6: DISCLAIMER OF WARRANTIES

6.1 Products Provided "AS IS"
All products, materials, information, and content made available by MLAD are provided on an "AS IS" and "AS AVAILABLE" basis. Except as expressly stated in writing by MLAD, no representations or warranties of any kind are made regarding the products or the information provided through this website.

6.2 Disclaimer of All Warranties
To the fullest extent permitted by applicable law, MLAD, together with its owners, officers, directors, employees, agents, affiliates, suppliers, and licensors, expressly disclaims all express, implied, statutory, and other warranties, including, without limitation:

  • Any implied warranty of merchantability;

  • Any implied warranty of fitness for a particular purpose;

  • Any warranty of title or non-infringement;

  • Any warranty arising from prior dealings, course of performance, or trade usage;

  • Any warranty that products will satisfy a purchaser's research objectives or expectations;

  • Any warranty regarding the accuracy, completeness, reliability, or timeliness of information published on this website; and

  • Any warranty that products are appropriate or suitable for any specific laboratory or research application.

No oral or written statement made by MLAD or its representatives shall create any warranty unless expressly set forth in a written agreement signed by an authorized representative of the Company.

6.3 No Warranty for Human or Animal Applications
MLAD does not represent or warrant that any product is safe, effective, approved, or suitable for use in humans or animals under any circumstances. Products are not intended for medical, therapeutic, diagnostic, pharmaceutical, cosmetic, veterinary, or any other in vivo application. MLAD makes no representations concerning the chemical, biological, physiological, pharmacological, or toxicological characteristics of any product beyond any specifications expressly provided for research purposes.

6.4 Research Risks
Purchasers acknowledge that research chemicals may possess known or unknown hazards and that scientific understanding of certain compounds may be incomplete or evolving. Accordingly, all products should be handled only by qualified personnel using appropriate laboratory safeguards, safety procedures, and protective equipment. MLAD does not guarantee research outcomes, experimental results, product performance, or suitability for any intended application.
 
SECTION 7: LIMITATION OF LIABILITY

7.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, MLAD, including its owners, officers, directors, employees, agents, affiliates, suppliers, and representatives, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to:

  • Access to or use of this website;

  • The purchase, possession, handling, storage, transportation, or disposal of any product;

  • Any alleged defect, failure, or performance issue involving a product;

  • Any reliance on website content, product information, or other materials provided by MLAD; AND

  • Any breach, claim, or dispute arising from this Agreement.

This limitation applies regardless of the legal theory asserted, including contract, warranty, negligence, strict liability, product liability, tort, or any other basis of recovery, even if MLAD has been advised of the possibility of such damages.

7.2 Limitation of Aggregate Liability
To the fullest extent permitted by law, MLAD's total cumulative liability arising from or related to this Agreement, the website, or the purchase of any product shall not exceed the amount actually paid by the purchaser for the specific product giving rise to the claim. This limitation applies regardless of whether the claim arises from contract, tort, statutory liability, warranty, or any other legal theory.

7.3 Scope of Limitation
The exclusions and limitations contained in this Section apply to all claims, losses, damages, and liabilities of every nature, whether known or unknown. Certain jurisdictions may restrict the limitation or exclusion of specific damages. In such jurisdictions, MLAD's liability shall be limited to the maximum extent permitted under applicable law.

7.4 Exclusive Remedy
If you are dissatisfied with any product, website content, service, or provision of these Terms, your sole and exclusive remedy is to discontinue use of the website and refrain from purchasing additional products from MLAD.
 
7.5 No Reliance on Company Materials
MLAD shall not be responsible or liable for any decisions, actions, omissions, or outcomes resulting from your reliance on website content, product descriptions, technical information, communications, or other materials provided by MLAD.
You acknowledge that all purchasing decisions and research activities are made independently and at your own discretion and risk. TO the fullest extent permitted by law, MLAD disclaims responsibility for any injury, illness, death, property damage, environmental harm, financial loss, or other damages arising from or related to the handling, storage, transportation, testing,
disposal, or use of its products.

SECTION 8: INDEMNIFICATION

8.1 Customer Obligation to Defend and Indemnify
In consideration of MLAD agreeing to sell and provide products to you, you agree to defend, indemnify, and hold harmless MLAD, including its owners, MEMBERS, CONTRACTORS, REPRESENTATIVES, agents, affiliates, suppliers, successors, and assigns, from and against any and all claims, demands, liabilities, damages, losses, expenses, penalties, judgments, settlements, costs, and reasonable attorneys' fees arising out of or related to:

  • Your purchase, receipt, possession, storage, transportation, handling, testing, use, or disposal of any product;

  • Any use of products;

  • Any violation of these Terms and Conditions;

  • Any inaccurate, incomplete, or misleading information provided by you regarding your identity, qualifications, affiliation, or intended use;

  • Any human or animal exposure to, administration of, or use of products;

  • Any violation of applicable federal, state, local, or international laws or regulations;

  • Any negligent, reckless, intentional, or unlawful conduct by you or any person acting on your behalf;

  • Any claim brought by a third party arising from your possession, transfer, or use of products; AND

  • Your access to or use of this website or any information contained therein.
     

8.2 Acceptance of Responsibility and Risk
You acknowledge and agree that you assume all responsibility and liability for any loss, injury, damage, or other consequence arising from or connected with the acquisition, receipt, transportation, storage, handling, possession, use, or disposal of products.


This assumption of responsibility extends to any harm involving you, your employees, contractors, affiliates, research personnel, facilities, property, or any third party.

8.3 Defense of Claims
Your indemnification obligations include the duty to provide a defense against any claim covered by this Section at your sole expense.


MLAD reserves the right to participate in the defense of any matter subject to indemnification and may select or approve legal counsel representing its interests. YOU SHALL NOT SETTLE ANY CLAIM WITHOUT MLAD'S PRIOR WRITTEN CONSENT.

8.4 Survival of Indemnification Obligations
Your obligations under this Section shall remain effective after termination of your account, completion of any purchase transaction, or expiration of these Terms. For clarity, Any obligation that, by its nature, is intended to continue beyond termination shall remain enforceable, including indemnification responsibilities arising from prior purchases or activities.
 
SECTION 9: REGULATORY COMPLIANCE AND CUSTOMER RESPONSIBILITIES
 
9.1 Customer Compliance Obligations 
Purchaser is solely responsible for ensuring that all acquisition, possession, handling, storage, transportation, use, and disposal of products purchased from MLAD comply with all applicable laws, regulations, rules, permits, and governmental requirements.


Without limiting the foregoing, Purchaser agrees to comply with all applicable requirements, including but not limited to:

  • FDA Requirements: Applicable provisions of the Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.) and related regulations governing the use and handling of research materials;

  • TSCA Requirements: Applicable provisions of the Toxic Substances Control Act (15 U.S.C. § 2601 et seq.), including requirements applicable to technically qualified individuals and appropriate research environments;

  • DEA Requirements: Applicable provisions of the Controlled Substances Act and related regulations where relevant to any purchased product;

  • OSHA Requirements: Workplace safety, hazard communication, chemical handling, and employee protection requirements established under the Occupational Safety and Health Act;

  • EPA Requirements: Environmental regulations governing chemical storage, handling, transportation, and disposal;

  • Export and Trade Controls: Applicable export control laws, including the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), Office of Foreign Assets Control (OFAC) requirements, and related restrictions where applicable; and

  • State and Local Requirements: Any applicable state, municipal, institutional, or other jurisdictional requirements relating to research chemicals.
     

9.2 TSCA Responsibility
Products sold by MLAD are intended exclusively for laboratory research applications. Certain products may not be listed on the Toxic Substances Control Act (TSCA) Inventory or may be subject to specific regulatory requirements.
Purchaser is solely responsible for determining whether products may be lawfully acquired, possessed, handled, and used under TSCA and any other applicable regulatory framework.

9.3 Federal Food, Drug, and Cosmetic Act Compliance
Purchaser represents and warrants that any material, formulation, process, or derivative created using MLAD products will be handled in compliance with all applicable provisions of the Federal Food, Drug, and Cosmetic Act.
Purchaser further agrees that no product or material derived from MLAD products will be introduced into interstate commerce in a manner that violates applicable laws relating to adulteration, misbranding, or unauthorized use.

9.4 Independent Hazard Evaluation
Purchaser is solely responsible for reviewing available safety information, evaluating potential hazards, and conducting any additional research necessary to understand the risks associated with products before use. Purchaser agrees to follow all applicable safety procedures, manufacturer-provided documentation, and accepted laboratory practices and shall not use products in any manner inconsistent with these Terms.

9.5 Jurisdictional Responsibility
Purchaser acknowledges that access to MLAD's website and purchase of products occurs at Purchaser's own initiative and risk.


Purchaser is solely responsible for ensuring compliance with all laws, regulations, and requirements applicable in the jurisdiction where Purchaser resides, operates, receives, stores, or uses the products.
 
SECTION 10: ORDER PROCESSING AND RIGHT TO REFUSE SERVICE
 
10.1 Order Acceptance
All orders submitted to MLAD are subject to review and acceptance by the Company in its sole discretion. Submission of an order, receipt of an automated confirmation, or processing of payment does not constitute final acceptance of the order.
MLAD reserves the right to accept, reject, delay, modify, or cancel any order, in whole or in part, for any reason, including but not limited to:

  • Product availability or inventory limitations;

  • Errors, inaccuracies, or omissions in product descriptions, pricing, or related information;

  • Suspected fraudulent, unauthorized, or improper activity;

  • Concerns regarding potential misuse of products;

  • Failure to satisfy purchaser eligibility requirements;

  • Previous violations of these Terms or other Company policies; AND

  • Any other circumstance that MLAD determines, in its sole judgment, warrants refusal or cancellation.
     

10.2 Company Right to Limit or Refuse Sales
MLAD reserves the right to restrict, decline, or prohibit sales to any individual, organization, or account when the Company reasonably determines that:

  • The purchaser may not be qualified to acquire or handle research materials;

  • Products may be used in violation of these Terms;

  • Information provided by the purchaser cannot be adequately verified; or

  • The transaction may create legal, regulatory, safety, or compliance concerns.

MLAD may refuse service, suspend accounts, restrict purchasing privileges, or place individuals or entities on an internal restricted-sales list at its sole discretion.
 
10.3 Suspicious Orders and Compliance Review
If MLAD identifies information suggesting that products may be misused, transferred improperly, or intended for prohibited applications, MLAD may take appropriate action, including:

  • Canceling or withholding orders;

  • Suspending or terminating customer accounts;

  • Refusing future transactions;

  • Restricting communications or website access; and

  • Reporting suspected violations to appropriate regulatory agencies or law enforcement authorities when required or deemed appropriate.

Any inquiry or communication indicating an intent to use products for prohibited human or animal applications may result in immediate refusal of service.

10.4 Order Cancellation Prior to Shipment
MLAD reserves the right to cancel any order before shipment for any lawful reason. If an order is canceled, MLAD'S sole LIABILITY AND PURCHASER"S SOLE REMEDY will be limited to refunding amounts paid for the canceled products, unless otherwise required by applicable law.

10.5 Pricing and Product Information Errors
MLAD reserves the right to correct errors, inaccuracies, omissions, or outdated information relating to product descriptions, availability, specifications, or pricingf an order is placed based on incorrect information, MLAD may cancel the order and provide a refund of any amounts paid for affected products. This right applies even if the order has been confirmed electronically.
 
11. PRODUCT SPECIFICATIONS AND CERTIFICATES OF ANALYSIS
 
11.1 Product Specifications
MLAD makes reasonable efforts to ensure that products conform to the applicable specifications provided at the time of shipment. Product descriptions, specifications, and related technical information are provided for research reference purposes only and may be updated, revised, or modified by MLAD without prior notice.


Purchaser acknowledges that specifications do not constitute a warranty or guarantee that any product is suitable for a particular research application, methodology, or intended use.
 
11.2 Certificate of Analysis (COA)
Where provided AT MLAD'S SOLE DISCRETION, Certificates of Analysis ("COAs") are supplied as documentation of testing performed on identified product lots or batches. COAs are provided for informational and quality-reference purposes only and do not constitute a warranty, certification of suitability, or guarantee of performance.


Purchaser acknowledges and agrees that:

  • COA results apply only to the specific sample or lot tested and may not represent the characteristics of an entire production batch;

  • A COA does not establish that a product is safe, effective, approved, or suitable for human or animal use;

  • A COA does not constitute a representation that a product meets requirements for pharmaceutical, medical, diagnostic, veterinary, cosmetic, or other regulated applications;

  • Research-use products may not be subject to the same testing requirements applicable to regulated products; and

  • Purchaser remains solely responsible for conducting any independent testing, validation, qualification, or analysis required for its intended research activities.
     

11.3 Website and Product Information Accuracy
MLAD strives to provide accurate and current information regarding products, specifications, and website content. However, errors, omissions, typographical mistakes, or outdated information may occasionally occur. MLAD reserves the right to correct, modify, or update any website content, product information, specifications, or pricing information at any time without prior notice and shall not be responsible for inaccuracies resulting from such errors or updates.

11.4 No Intellectual Property License
The sale or listing of any product by MLAD does not grant Purchaser any license, authorization, or right to use such product in a manner that infringes upon any patent, trademark, copyright, trade secret, or other intellectual property right belonging to MLAD or any third party.


Purchaser is solely responsible for determining whether any intellectual property rights, regulatory approvals, permits, or other authorizations are required for Purchaser's intended research activities.

11.5 Prohibited Website Uses
In addition to all other restrictions contained in these Terms, you agree not to use MLAD's website, services, or content for any unlawful or unauthorized purpose, including but not limited to:

  • Violating any applicable federal, state, local, or international law, regulation, or requirement;

  • Encouraging or assisting others in unlawful activity;

  • Infringing upon MLAD's intellectual property rights or the rights of third parties;

  • Providing false, misleading, or fraudulent information;

  • Uploading or transmitting malicious code, viruses, or other harmful material;

  • Attempting to collect, monitor, or misuse personal information belonging to others;

  • Engaging in unauthorized scraping, crawling, phishing, spamming, or automated data collection;

  • Using the website for obscene, abusive, discriminatory, threatening, or harmful purposes; or

  • Attempting to bypass, compromise, or interfere with website security features or related systems.

MLAD reserves the right to suspend or terminate access to the website or services for any person or entity that violates these prohibited-use requirements.

SECTION 12: PRIVACY, DATA COLLECTION, AND RECORD MANAGEMENT

12.1 Collection and Use of Information

13.2 Exclusive Venue and Jurisdiction

By agreeing to these Terms, each party irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum, improper venue, or lack of jurisdiction.

13.3 Waiver of Jury Trial
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR ANY TRANSACTION BETWEEN THE PARTIES.

13.4 Time Limit for Claims

14.2 Severability

You may not assign, transfer, delegate, or otherwise convey any rights or obligations UNDER These Terms without MLAD's prior written consent, WHETHER BY OPERATION OF LAW OR OTHERWISE.
MLAD may assign or transfer its rights or obligations under these Terms without restriction,. Any attempted assignment by you in violation of this Section shall be null and void.

14.5 Force Majeure
MLAD shall not be liable for any delay, interruption, or failure to perform its obligations when such delay or failure results from events beyond its reasonable control. These events may include, without limitation, natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, pandemics, labor disputes, governmental actions, transportation disruptions, supply chain interruptions, utility failures, cyber incidents, or carrier delays.Performance shall be suspended for the duration of the force majeure event, and MLAD shall resume performance as soon as reasonably practicable.

14.6 Survival
Any provision of these Terms that, by its nature, is intended to survive termination shall remain in effect following the expiration or termination of your account, these Terms, or any purchase transaction.
Such provisions include, without limitation, Research Use Restrictions, Warranty Disclaimers, Limitations of Liability, Indemnification Obligations, Regulatory Compliance, Intellectual Property, Governing Law, Confidentiality, and any payment or enforcement obligations.

14.7 Headings
Section titles and headings are included solely for convenience and reference. They shall not affect the interpretation or construction of these Terms.
